ChD 22 February 1991. The plaintiff G was joint owner of six acres of land which had an existing use as agricultural land. J was a company whose business was buying bulbs and selling them to garden centres and nurseries. Their London premises were becoming too small and in 1986 it was agreed to transfer the business to G`s land on the understanding that J would erect an agricultural building on the land at their expense, and would have an option to buy a share in the land in five years. In the meantime J were to pay £40/week rent and G and another joint owner would each receive 25% of J`s profits. G claimed this was a preliminary agreement and J that it was a concluded agreement to be incorporated in a legal document. Later in the year J erected an agricultural building with G`s agreement.
