North Eastern Properties Ltd v Damien Coleman; Patrick Quinn [electronic resource] - 2010

[2010] EWCA Civ 277, 19 March 2010. Appellant purchasers C and Q appealed against an order ([2009] EWHC 2174 (Ch)) for specific performance of contracts for the sale of land. They had negotiated a 10% discount on the purchase price but C instructed that only 8% to be shown on the contracts, the remaining 2% being invoiced as a finder's fee and being the subject of a separate agreement. C and Q refused to complete after respondent N had served delayed notices of completion and resisted N's subsequent application for specific performance.The court found for N who contended that the finder's fee was not a term of any of the contracts. Held: appeal dismissed. The judge was correct in concluding that the finder's fee did not form part of any of the contracts.
