Gunatunga v DeAlwis and DeAlwis - 1996 - Property and Compensation Reports [1996] P&CR 161-173(13) .

CA 23 November 1995. D bought a business including leasehold property comprising a shop and flat. In breach of covenant they sublet the flat, giving an assured shorthold tenancy. D later exchanged contracts with G for purchase of the lease and goodwill of the business. Final completion did not occur until D received the landlord`s licence to assign. D`s solicitors confirmed vacant possession. G undertook proceedings when they discovered tenants still occupied the flat, claiming she had rescinded the contract and inter alia damages. Appeal against judgment in favour of G dismissed.
