CA 27 October 1995. A disagreement between the lessee and the lessor on the nature of a rent review clause in the underlease of an office building. The lessee argued that the clause provided for an upwards only rent review on the first review and on subsequent reviews could be increased or reduced subject to a threshold provision. The lessor argued that the clause provided for an upwards only rent review on each review i.e. a ratchet provision. The ChD judge decided in favour of the lessor`s interpretation. Lessee`s appeal dismissed.
