In "Cheddar Valley Engineering Ltd v Chaddlewood Homes Ltd" ChD 28 February 1992, it was held that where negotiations started on an open basis and one party wanted to change the basis of negotiations so that they were not `without prejudice`, it was not `without prejudice`, it was up to that party to spell out the change with clarity.
