Stanhope Pension Trust Ltd & another v Registrar of Companies & another - 1993 - Estates Gazette (1993) 48 EG 129-131(3) .

QBD 25 May 1993. A firm (F) took the lease of buildings for which S held the first reversion. The premises were assigned to two companies (interveners) before passing to B. Meanwhile both F and B went into liquidation, the rent was not paid and the liquidator disclaimed the underleases. S applied to avoid F`s dissolution and the intervenors attempted to be joined as defendants. This was refused by the Registrar who ordered the dissolution of F to be avoided under the Companies Act 1985 s651. The intervenors successfully appealed against these orders.
