Privy Council confirms that the obligations of vendor and purchaser to complete and pay are contemporaneous unless otherwise agreed, and a party seeking to resist specific performance by relying on a term in the contract setting out liquidated damages cannot do so if he has previously treated a supposed breach as repudiation and failed to offer payment thereunder.
