CA 24 February 1997. K held an equity sharing headlease from appellant landlords M. K granted an underlease to H and later sold the headlease to Y, the underlease acquired by a company who held it in trust for the second plaintiff. The group of companies to which the plaintiffs belonged sought to merge the headlease with the underlease in order to terminate rent liability under the underlease and reduce rent on the headlease. M`s appeal against an earlier decision that this process did not constitute a breach of covenant of the headlease was dismissed.
