"Nurdin and Peacock plc v D B Ramsden and Co Ltd", ChD 17 July 1998. R owned leasehold premises from which it ran a business. R sold business to L on a sublease subject to upwards-only rent reviews. N became sole owner of L and proprietor of the sublease. In 1997 N was taken over and R sought rectification of lease to accord with alleged prior agreement for additional payment of rent. Judge found R had failed to establish the necessary common intention that the lease should be in the form contended for.
