Second part of a discussion of "Liverpool City Council v Walton Group" - a wide-ranging dispute over the development agreement relating to a site in the centre of Liverpool (for part 1 see: WB3741-17). Among the key points drawn from the ruling are that: while a court will not imply a general obligation to co-operate, it can require a contracting party to facilitate specific aspects of a contract. Secondly, in this agreement there was an implied obligation to act reasonably when deciding whether to allow the development agreement to proceed to its next stage.
