In Woolworth,FW plc v Charlwood Alliance Properties Ltd , ChD, the plaintiff tenant sought a declaration that its landlord had unreasonably refused consent to an assignment of a lease of retail premises. The defendant landlord counterclaimed seeking specific performance of certain covenants in the lease to keep open the premises as a department store or shop as specified in the lease . The judge refused to make a declaration that the landlord had unreasonably witheld consent to the assignment, but he also refused the counterclaim by the landlords.
