The CA was divided over interpretation of an oral agreement that vendors of a business would not enter negotiations with a third party but deal exclusively with the plaintiff purchasers. A majority of the court found this to be unenforceable as merely an agreement to enter a contract but one judge dissented, finding that the agreement not to negotiate with anyone else was severable from the agreement merely to negotiate and therefore enforceable.
