The Companies Act 2006 simplifies the process of acquiring a company?s shares in order to obtain a property it owns, rather than purchasing the property. It also removes some restrictions. Prior to this Act, the price would have to be at or above the market value for the property to avoid restrictions on companies giving financial assistance to their own purchaser. Banks will now find financing such transactions more attractive. SPVs are also likely to be cheaper and faster.
